We (Jobs That Help, LLC) welcome you! By accessing or otherwise interacting with our website or services, or any associated content or postings (in total, “Jobs That Help”), you agree to these Terms of Service (“TOS”). You acknowledge and agree Jobs That Help is a privately-owned and operated site. If you are accessing or using Jobs That Help on behalf of an organization, that organization agrees to the TOS. If you do not agree to the TOS, you are not authorized to use Jobs That Help. We may modify the TOS at any time in our sole discretion. You are responsible for periodically checking for changes and are bound by them if you continue to use Jobs That Help. Our privacy policy, and all other policies, site rules, and agreements referenced below or on Jobs That Help, are fully incorporated into this TOS, and you agree to them as well.
License
By using Jobs That Help as an individual or on behalf of an organization, thereby binding that organization to the TOS, we grant you a limited, revocable, non-exclusive, non-assignable license to use Jobs That Help in compliance with the TOS. Unlicensed use is unauthorized. You agree not to display, “frame,” make derivative works, distribute, license, or sell content from Jobs That Help, excluding postings you create. You grant us a perpetual, non-exclusive, irrevocable, unlimited, worldwide, fully paid/sublicensable license to use, edit, copy, display, distribute, and make derivative works from content you post for the purposes of providing services.
Use
Unless licensed by us in a written agreement, you agree not to use or provide software (beyond general purpose web browsers and e-mail clients) or services that interact or interoperate with Jobs That Help, such as for downloading, uploading, creating/accessing/using an account, posting, e-mailing, searching, or mobile use. You agree not to copy or collect Jobs That Help content via robots, spiders, scripts, scrapers, crawlers, or any automated or manual equivalent (e.g., by hand). Misleading, unsolicited, offensive, hurtful, and/or unlawful postings or accounts are prohibited, as is buying, selling, or trading accounts. You agree not to post content that is prohibited by any applicable laws, the TOS, and all posted site rules. You agree not to collect Jobs That Help user information or interfere with Jobs That Help. You agree we may moderate Jobs That Help access and use in our sole discretion, such as by blocking, filtering, re-categorizing, re-ranking, deleting, delaying, holding, omitting, verifying, editing, or terminating your access/license/account and/or postings. You agree not to bypass said moderation, that we are not liable for moderating or not moderating, and that nothing we say or do waives our right to moderate, or not.
Fees
When you purchase a post or access to the resume bank, you authorize us to charge your account. Refunds are only provided within 24 hours of the order date, and do not include any non-refundable fees charged by payment processors. After 24 hours of the order date, our fees are non-refundable, even for posts or resume bank access that we remove, delay, omit, re-categorize, re-rank, or otherwise moderate. We also may refuse any post or access to the resume bank. Please note that a monthly 1% late payment charge is assessed on any unpaid balance remaining after 30 days from the date of the order, and that a $30 bounced check charge is assessed for any returned check.
Infringing content
If you believe that materials hosted by Jobs That Help have been copied in a way that constitutes infringement of your copyright, or your intellectual property rights have been otherwise violated, please notify us at info@jobsthathelp.com or Jobs That Help, P.O. Box 70447, Milwaukee, WI 53207. The notice must provide the following under the Digital Millennium Copy Right Act of 1998: (1) identification of the copyrighted work or other intellectual property that you claim has been infringed; (2) identification of the material that you claim is infringing, with enough detail so that we may locate it (providing a link where available); (3) a statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; (4) a statement by you declaring under penalty of perjury that (a) the above information in your notice is accurate, and (b) that you are the owner of the copyright interest involved or that you are authorized to act on behalf of that owner; (5) your address, telephone number, and e-mail address; and (6) your physical or electronic signature. Jobs That Help will remove the infringing material, subject to the procedures outlined in the DMCA.
Disclaimer and liability
To the full extent permitted by law, Jobs That Help, LLC, and its owners, agents, licensors, affiliates, and successors in interest (“we,” “our,” “us”) (1) make no promises, warranties, or representations as to Jobs That Help, including its completeness, accuracy, availability, timeliness, propriety, security or reliability; (2) provide Jobs That Help on an “AS IS” and “AS AVAILABLE” basis and any risk of using Jobs That Help is assumed by you; (3) disclaim all warranties, express or implied, including as to accuracy, merchantability, fitness for a particular purpose, and non-infringement; and (4) disclaim any liability or responsibility for acts, omissions, or conduct of you or any party in connection with Jobs That Help. We are not liable for any direct, indirect, consequential, incidental, special, punitive, or other losses, including lost profits, revenues, data, goodwill, etc., arising from or related to Jobs That Help. Because some states do not allow the exclusion and/or limitation of liability for consequential and/or incidental damages, in such states, our liability is limited to the maximum extent permitted by law.
Without limiting the foregoing, under no circumstances shall Jobs That Help or its affiliates, or its or their third-party licensors, be liable for any delay or failure in performance resulting directly or indirectly from acts of nature, forces, or causes beyond its or their reasonable control, including, without limitation, Internet failures, computer equipment failures, telecommunication equipment failures, other equipment failures, electrical power failures, strikes, labor disputes, riots, insurrections, civil disturbances, shortages of labor or materials, fires, floods, storms, explosions, acts of god, war, governmental actions, orders of courts or tribunals, non-performance of third parties, or loss of or fluctuations in heat, light, or air conditioning.
Claims and indemnity
Any claim, cause of action, demand, or dispute arising from or related to Jobs That Help (“Claims”) will be governed by the laws of Wisconsin, without regard to conflict of law provisions. Any Claims will be exclusively resolved by courts in Milwaukee, Wisconsin (except we may seek preliminary or injunctive relief anywhere). You agree to (1) consent to the personal jurisdiction of courts in Milwaukee, Wisconsin; (2) indemnify and hold us harmless from any Claims, losses, liability, or expenses (including attorneys’ fees) that arise from a third party and relate to your use of Jobs That Help; and (3) be liable and responsible for any Claims we may have against your officers, directors, employees, agents, affiliates, or any other party, directly or indirectly, paid, directed or controlled by you, or acting for your benefit.
Reservation of rights
Jobs That Help and those of our licensors are protected by applicable intellectual property laws, including United States copyright law and international treaties. Subject to the limited rights expressly granted in the TOS, Jobs That Help and/or its third party providers, licensors, and suppliers reserve all right, title and interest in and to Jobs That Help, including without limitation all related worldwide intellectual property rights. No rights are granted to you in the TOS other than as expressly set forth herein.
Miscellaneous
Unless otherwise agreed to by Jobs That Help and you in writing, this is the exclusive and entire agreement between us and you. All provisions of the TOS which by their nature should survive termination of the TOS shall survive termination, and you will remain bound by those sections. If a TOS term is unenforceable, it shall be limited to the least extent possible and supplemented with a valid provision that best embodies the intent of the parties.
